Affiliates and representative offices

An Affiliate or Representative Office is an economically autonomous structural subdivision of a legal entity, and shall not be considered as a legal entity itself, it is located off the premises of the legal entity and performs all its functions or any part thereof, exercises protection of the legal entity’s rights and represents its interests, makes and enters into any transactions and performs any other legal actions on behalf of the above legal entity.

Documents required for registration of an Affiliate or Representative Office:

  1. Notarized copies of the constituent Notarized copies of constituent documents and certificates confirming registration of a legal entity in its own country (an extract from the Trade Register, State Registration Certificate, etc.) with notarized translations thereof into the Russian and Kazakh languages;
  2. Resolution of the founding legal entity’s body on establishing an Affiliate or Representative Office in the Republic of Kazakhstan with a notarized translation thereof into the Russian and Kazakh languages;
  3. A notarized General Power of Attorney issued to the Director of an Affiliate or Representative Office and containing the description of his/her competence, with a notarized translation thereof into the Russian and Kazakh languages;
  4. Documents confirming location (address) of the established or Representative Office;
  5. Other documents.

Depending on the country of registration of the founding legal entity, the documents shall be legalized or apostillized.
