First, you should decide what kind of enterprise (business entity) you wish to establish, whether a small, medium-sized or large business entity.
A small business entity: the number of employees shall not exceed 50 persons, while the average annual value of assets shall not exceed 60 000 MCI (Monthly Calculation Indexes).
A medium-sized business entity: the number of employees shall not exceed 250 persons, while the average annual value of assets shall not exceed 325 000 MCI (Monthly Calculation Indexes).
A large business entity: the number of employees shall be more than 250 persons and/or the average annual income shall exceed 3 000 000 MCI (Monthly Calculation Indexes).
A small business entity may not carry out the following activities:
The activities connected with illegal trafficking in and circulation of narcotics, psychotropic substances and precursors; with production of and (or) whole sale trade in excisable goods; with storage of grain at grain reception centers; with lottery conducting; with gambling industry/ business; with production, processing and sale of oil, oil products, gas, electric and thermal power; with circulation of radioactive materials; as well as banking activities (or certain banking operations), insurance market activities (except for the insurance agent’s activities); auditing activities; activities as a professional participant of the securities market, activities as a credit bureau, security guard activities and activities connected with circulation of civil and service weapons and bullets.
The minimum authorized capital shall amount to KZT 100 (for small business entities) and 100 MCI (Monthly Calculation Indexes) for other business entities.
Founders of a LLP may be represented by individuals and legal entities. In order to register a LLP you are required to submit:
Copies of Identity Cards with IIN of the founders and the Director of the above LLP.
If the founders include a legal entity, it will be necessary to additionally submit:
Its State Registration Certificate with BIN.
Registration of LLP - small business entities shall only be made through the web-portal of the electronic government egove.kz. For this purpose all the founders shall have IIN/ BIN and electronic digital signature/seal.
